Who we are
Paidbrook is run by Muhammad Ahmad Baba, an individual based in Nigeria. "We", "us" and "our" in these terms mean him, and when you buy from Paidbrook your contract is with him. Contact: hello@paidbrook.com.
These terms apply when you use paidbrook.com, including the free Overdue Invoice Rescue tool, and when you buy the Rescue Pack. By using the site or buying, you agree to them.
Business customers only
- Paidbrook is for businesses, including sole traders, that invoice other businesses. It is not for consumers or for personal use.
- When you buy the Rescue Pack, you confirm you are buying for your business and give your business name and, if you have one, your VAT number. We keep these as a record that you bought as a business.
- We may refuse or cancel an order that looks like a personal purchase. If we do, you get a full refund.
The free tool
- The Overdue Invoice Rescue tool runs entirely in your browser. Your file is not uploaded, and there are no accounts, cookies or analytics.
- It is free, in beta and provided "as is". We may change or remove it at any time, and we don't promise it will be error-free or always available.
- Its figures, including late-payment interest and compensation under the UK's Late Payment of Commercial Debts (Interest) Act 1998 and Ireland's European Communities (Late Payment in Commercial Transactions) Regulations 2012, are guidance worked out from the file you give it. They are not legal or financial advice.
- Check the figures against your own records and your contracts. Your contract may set different payment terms or its own interest rate.
- You decide what to send, to whom and when.
The Rescue Pack
What you get
Within 24 hours of receiving a usable file, we email you these, as files:
- a checked chase plan for your overdue invoices;
- a reminder email draft for each client;
- statutory late-payment interest and compensation worked out for your UK and Irish invoices, where the law applies.
A person reviews every pack before it is sent. "Delivery" in these terms and in our Refund Policy means the moment we email your pack to you. How to buy, and what happens after you pay, is on the Rescue Pack page.
Price and payment
- The Rescue Pack costs USD 49, charged in US dollars. If your card is in another currency, your bank converts it at its own rate.
- You pay by card through Paystack, a payment processor. Paidbrook never sees your card details.
- No VAT is added at checkout. If your business is in the UK or the EU, you may need to account for VAT yourself under the reverse charge.
Sending your file
- After paying, email your overdue-invoice list (.xlsx or .csv) to hello@paidbrook.com, with your payment reference.
- We send the pack back to the email address you send the file from.
- If we haven't received a usable file within 30 days of your payment, we refund you in full and delete anything you sent.
What counts as a usable file
- An .xlsx or .csv file that opens without a password. Old .xls and Numbers files need saving as .xlsx or CSV first.
- It lists unpaid invoices your own business has issued to other businesses, one invoice per row.
- For each invoice it shows the client, the amount and the due date (or days overdue). If the file doesn't show the currency, tell us in your email.
An aged-debtors report from Xero or QuickBooks that lists each invoice usually works. If something we need is missing, we email you to say what, and the 24 hours start once we have it.
What we don't do
- We never contact your clients. You send any emails yourself, from your own email account.
- Your clients pay you directly. We never receive or handle their money.
- We can't promise your clients will pay, or pay on time.
- The pack is not legal or financial advice.
Your part
- You are responsible for the content of every email you send, so read and edit each draft first.
- Check the figures in the pack against your own records and contracts before you claim anything. Your contract may set different payment terms or its own interest rate.
- Only chase genuine invoices your business has issued to other businesses, for amounts that are really owed.
- You must have the right to share your list with us. It may include your clients' names and contact details; we use them only to prepare your pack.
Refunds
In short: a full refund any time before delivery; a full refund if you ask within 7 days after delivery and are not satisfied, no questions asked; a full refund on request if we don't deliver within 24 hours of receiving a usable file; and an automatic full refund if no usable file reaches us within 30 days of payment. Refunds go back to the card you paid with, through Paystack. The details are in our Refund Policy.
Your data
- Our Privacy page explains how we handle information.
- The free tool never sees your data: it stays in your browser.
- For the Rescue Pack, we use your file only to prepare your pack. We delete your file and the pack within 7 days of delivery, when the refund window closes.
- We keep a record of each sale (your email address, business name, VAT number if given, the amount, the date and the payment reference) for as long as tax and accounting rules require.
Acceptable use
- Don't use Paidbrook to chase money owed by consumers (people who bought for personal or household use).
- Don't send us, or chase, fake, inflated or already-paid invoices.
- Don't use the drafts to harass, threaten or mislead anyone, for example by saying legal action has started when it hasn't.
- Don't try to break, overload or misuse the site.
We may refuse or stop work on an order that breaks these rules. If we do so before delivery, you get a full refund.
Intellectual property
- The chase plan, email drafts and templates we give you, and the drafts the free tool makes, are yours to use, edit and send for your own business.
- Please don't resell them or publish them as templates of your own.
- The Paidbrook name, site and tool remain ours. Your file and your invoice data remain yours.
Liability
- We are not responsible if your clients don't pay, or for how you use the figures and drafts, including what you send and to whom.
- We are not liable for lost profit, lost income or lost business, or for any other indirect loss.
- Our total liability to you for anything connected with Paidbrook, whether for breach of contract, negligence or anything else, is limited to the amount you paid us.
- Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, such as liability for fraud, or for death or personal injury caused by negligence.
Changes to these terms
We may update these terms and will change the date below when we do. The terms on this page when you buy apply to that purchase. Any future services will have their own terms.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. If something goes wrong, please email us first and we will try to put it right.
